Welcome to Vorkinsta Technology Private Limited ("Company," "we," "our," or "us"). These Terms of Service ("Terms") form a legally binding agreement between you and the Company governing your access to and use of our platform and services offered, accessible via

Our Platform connects organizations, institutions, clients and businesses ("Clients") who are looking for freelancers and/ or interns for their organization and who will make such opportunities available on the Platform, with any individual (independent professionals, freelancers, students etc.) ("Freelancers") wanting to make use of this Platform to apply to work/assignments/tasks listed by Clients on this Platform ("Jobs"), for such services. The work offered and taken up may need to be performed at a defined physical location or could be performed virtually/ remotely, depending upon the agreement directly reached between the two parties. By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree to these Terms, please refrain from using our Platform and services. Each of Client and Freelancer are referred to individually as a User.
1. Eligibility
To use the Platform, you must be at least 18 years of age and legally competent to enter into a binding agreement under applicable laws of your country. You must not be prohibited from using the Platform under any laws in force in India or in your jurisdiction. By registering for an account, you affirm that you meet these eligibility criteria.
2. Account Registration and Responsibilities
To access most features of the Platform, you must register and maintain a user account. During registration, you are required to provide accurate and complete information. You are responsible for safeguarding your account credentials and agree to notify us immediately of any unauthorized access or use. You are solely responsible for all activities that occur under your account. We reserve the right to suspend or terminate any account that is suspected of containing false information or engaging in prohibited activity.
3. Platform Role and Relationship
The Platform serves solely as an online venue to facilitate communication and transactions between Clients and Freelancers. The Company does not employ, manage, or supervise any Freelancers, nor do we guarantee the quality, legality, or delivery of services offered by Freelancers. We also neither influence or control the nature of opportunities offered by clients nor the remuneration offered. Any contractual relationship formed through the Platform is directly between the Client and the Freelancer. We are not a party to those agreements and disclaim all liability arising from them. Issues arising out of a relationship entered into after being connected with each other on this Platform, need to be addressed directly between the two parties.
4. User Conduct
Users of the Platform agree to engage respectfully and responsibly. You must not post or transmit any content that is misleading, fraudulent, offensive, defamatory, or infringes on the rights of others. You must not attempt to bypass our payment systems or encourage transactions outside the Platform in an effort to avoid service fees. You also agree not to interfere with or disrupt the operation of the Platform or use automated tools such as bots or scrapers without our prior written consent. Any violation of these standards may result in the suspension or termination of your account and potential legal action. The Company reserves the right to request for information/documents and audit the User's compliance with the requirements under the Terms. In the event such audit shows any non-compliance or breach of the Terms, a penalty of INR 1000/- may be imposed on the User for each instance of non-compliance/breach of the Terms.
5. Payments and Fees
Service charges and Platform usage fees for usage of the Platform will be made known to users at the time of opening an account or creating a profile and will be updated from time to time. The Platform could also offer usage "plans" from time to time for the benefit of users which could be selected.
Payments to freelancers for services they have delivered to Clients will need to be agreed and settled directly between Freelancers and Clients and will be processed outside this Platform by the Client and the Freelancer directly between themselves.
6. Terms and Conditions for Clients
These Client-specific Terms are in addition to the general Terms and Conditions on this Website. Any violation may lead to rejection of Job postings, suspension/termination of your account, and/or legal action.
a) You are responsible for ensuring you have proper authorization to post Jobs on behalf of your organization. Any disputes or claims from unauthorized postings will be your liability, and you agree to indemnify the Company.
b) If you upload any content (including but not limited to your profile, your company logo, job posting etc.), you provide the Company worldwide, royalty-free, perpetual, irrevocable, sublicensable and transferable license to host, use, reproduce, modify, publish, and display such content. You must ensure you have rights to share and permit its use.
c) The Company may share your Job listings on its social media, partner platforms (LinkedInetc.), or in print to increase visibility.
d) You must provide accurate and complete information about your organization and Job. Misrepresentation of any kind may result in immediate account suspension, removal of the Job posting or other suitable action.
e) First-time users may be asked to submit company documents for authentication. This information will only be used for verification.
f) Assignments given to Freelancers must be fair, job-related, and not used to gain free work, downloads, or social media promotion. Misuse will invite strict action.
g) All communication with Freelancers must remain professional and free of offensive or inappropriate content.
h) Once you hire a Freelancer, you must provide a proper offer letter including role, responsibilities, remuneration, payment terms, and full company contact details.
i) You must pay selected Freelancers their agreed remuneration on time. Delays or non-payment are strictly prohibited and may invite action.
j) Posting a Job does not guarantee that you will find or hire suitable candidates for the Job.
k) The Company may suspend or block accounts and/or take legal action based on investigations, complaints, abnormal activity, or other valid concerns—without prior notice.
l) Freelancer data received must only be used for recruitment purposes. Using it for promotions, marketing, or any unrelated communication is prohibited.
m) Sharing, selling, or transferring Freelancer data to third parties (paid or free) is strictly prohibited and may result in permanent account suspension and legal consequences.
n) The Platform does not guarantee the quality of work delivered by the freelancers/ interns identified through this platform.
o) The Platform does not certify the profile, personal and professional details made available by the freelancer/ intern and the Client is expected to independently validate the same at its end.
p) While the Company tries to provide reliable information about Freelancers, errors may occur. You are responsible for verifying all information, details posted by the Freelancer and for conducting your independent due diligence about a Freelancer.
7. Terms and Conditions for Freelancers
These Freelancer-specific Terms are in addition to the general Terms and Conditions on this Platform. Any violation may lead to rejection of Job applications, account suspension/termination, and/or legal action.
a) You must provide accurate and complete information when applying for Jobs or creating an account. Misrepresentation, impersonation, or withholding material information or providing fake or incomplete information of any kind (especially information and supporting documents relating to your qualification and prior experience) may result in immediate account suspension and possible reporting to your college and appropriate civil/criminal action as per applicable laws (if applicable).
b) Review Job details (role, location, pay, skills, etc.) carefully before applying.
c) You must not share, sell, or transfer Client data (contact information, etc.) with others. Any such attempt may result in account suspension and legal consequences.
d) While the Company tries to provide reliable Job information, errors may occur. You are responsible for verifying and getting all details, clarity and conducting your own due diligence about a Client and Job.
e) The Company does not guarantee Job placement.
f) Upon registration, your email ID and phone number will be subscribed to notifications (email, WhatsApp, SMS) and Job alerts. You may opt out or unsubscribe anytime.
g) The Company may remove any profile photo that does not show your clear likeness (e.g., group photo, logo, unrelated image). You may re-upload an appropriate photo.
h) By uploading a profile picture, you authorize the Company to share it with Clients and other relevant users on the platform.
i) The Platform does not guarantee payment promised by a Client.
j) Issues, if any, with a Client, will need to be directly settled by the Freelancer with the Client.
k) Upon accepting an offer from a Client you are expected to abide by the terms and condition of the engagement that you have agreed with the Client, including, but not limited to, usage of generative AI engines for work, protection of IP and copyrights. Failure to do so could result in termination of your account and, if required, legal action.
8. Dispute Resolution Between Users
In case of disagreements between Clients and Freelancers, we are not obligated to mediate, arbitrate, or settle any disputes. Users are expected to make reasonable efforts to resolve issues directly and any legal resolution remains your personal responsibility.
9. Platform Changes and Availability
We retain the right to modify or update the Platform at our discretion and without prior notice. This includes changes to features, functionalities, or the introduction of new services. We may also temporarily suspend access for maintenance or upgrades. While we strive to ensure uninterrupted service, we do not warrant that the Website will be available all the time without any interruptions and we are not liable for any unavailability or interruptions, data loss, or reduced availability. THE PLATFORM IS BEING PROVIDED "AS IS" WITHOUT ANY WARRANTY WHATSOEVER, AND ANY USE OF THE SAME FOR POSTING JOBS AND RECEIVING SERVICES FROM FREELANCERS IS AT YOUR OWN RISK. COMPANY DOES NOT WARRANT THAT OPERATION OF THE PLATFORM WILL BE UNINTERRUPTED OR THAT THE NATURE OR QUALITY OF JOB DELIVERED BY FREELANCER BE FIT FOR PURPOSE OR WILL MEET CLIENT'S REQUIREMENTS. ALL WARRANTIES, EITHER EXPRESS OR IMPLIED ARE DISCLAIMED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF NON-INFRINGMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OF THE PORTAL AND THE JOB DELIVERED BY A FREELANCER.
10. Restriction on Automated Data Use
You shall not, without the Company's prior written consent under a separate formal agreement, use any automated systems, software, bots, crawlers, spiders, scripts, manual processes, or other means to access, extract, scrape, crawl, data mine, reproduce, redistribute, cache, archive, compile into datasets, or otherwise use or share any content, information, or data from the Platform or its associated applications for purposes including, but not limited to, developing, training, fine-tuning, validating, or enhancing machine learning models, large language models (LLMs), artificial intelligence systems, generative AI tools, or any similar technologies. Any breach of this restriction shall constitute a material violation of these Terms and entitle the Company to immediately suspend or terminate your access and/or account, and to pursue appropriate legal remedies.
11. Intellectual Property
All intellectual property related to the Platform, including but not limited to logos, text, designs, graphics, and software, are owned or licensed by the Company and are protected under copyright, trademark, and other applicable laws. You are granted a limited, non-exclusive, and non-transferable license to access and use the Platform for its intended purpose. Freelancers retain ownership of original works they create; however, Clients receive full usage rights to the deliverables upon full payment, unless the parties have agreed otherwise in writing. Without obtaining prior written approval from the Company, you are prohibited from using of the Company's name, trademarks, trade dress or reference in a manner whatsoever that suggests any form of endorsement or affiliation by the Company.
12. Termination
We may suspend or terminate your account and access to the Platform if we determine that you have violated these Terms, applicable laws, or have engaged in fraudulent or abusive behavior. You may also close your account at any time by contacting support. Any pending obligations, such as payments or deliverables, will continue to be governed by these Terms even after termination.
13. Disclaimer of Warranties
The Platform is provided on an "as-is" and "as-available" basis. We disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will always function without disruptions, delays, or errors, nor do we make warranties regarding the quality or reliability of the Platform or services rendered thereinunder.
14. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, loss of revenue, downtime costs, loss of anticipated savings, loss or damage to data, or loss of goodwill. Company's total liability, in any case, whether in contract tort or otherwise, shall not exceed INR 1000. All claims will need to be made within three (3) months from the date of last cause of action giving rise to the claim. Parties agree that a breach of the Confidentiality and Intellectual Property provisions of the Terms may cause irreparable harm for which monetary damages alone may be insufficient and hence the non-breaching party shall be entitled to seek immediate injunctive relief in addition to any other remedies available at law or in equity.
15. Indemnification
You agree to defend, indemnify and hold harmless Vorkinsta Technology Private Limited, its subsidiaries, affiliates, licensors, employees, agents, third party information providers and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your acts and/or omissions and any content that you post, store or otherwise transmit on or through the Platform, your conduct, your use or inability to use the Platform, your breach or alleged breach of the Terms of Service or of any representation or warranty contained herein, your unauthorized use of the content, or your violation of any rights of another. Further you shall indemnify Vorkinsta Technology Private Limited, its subsidiaries, its affiliates and licensors against any loss, expense, cost or damage incurred by any or all of them as a result of your breach of these Terms or your unauthorized use of the content or the Platform.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes, claims, or legal proceedings shall be subject to the exclusive jurisdiction of the competent courts located in Mumbai, excluding rules as to choice and conflict of law. The United Nations Convention on Contracts for the International Sale of Goods will not apply.

18. Confidentiality
Information exchanged under these terms will be treated as confidential if identified as such at disclosure or if the circumstances of disclosure would reasonably indicate such treatment. Confidential information may only be used for the purpose of fulfilling obligations or exercising rights under these terms, and shared with employees, agents of the receiving party with a need to know such information to support that purpose. Confidential information will be protected using a reasonable degree of care to prevent unauthorized use or disclosure for 3 years from the date of receipt or (if longer) for such period as the information remains confidential. These obligations do not cover information that: i) was known or becomes known to the receiving party without obligation of confidentiality; ii) is independently developed by the receiving party; or iii) where disclosure is required by law or a governmental agency.
19. Global Trade Compliance
If Client exports, imports or otherwise transfers or shares any sensitive or proprietary information/documents products in relation with a Job, Client will be responsible for complying with applicable laws and regulations and for obtaining any required export or import authorizations. Company may immediately suspend or terminate the account to the extent required by laws applicable to either party.
20. Miscellaneous
These Terms constitute the entire agreement between you and the Company regarding the use of the Platform. If any provision is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect. Nothing in these Terms shall be construed as creating a partnership, joint venture, or employer-employee relationship between you and the Company. Each of User and Company are acting in their independent capacity in reviewing and accepting to the Terms and their relationship does not reflect any partnership or agency or joint venture between the User and the Company. Neither User northe Company represents, acts on behalf of or binds the other through its acts and omissions. Neither party will be responsible for any representations or any acts/omissions by the other party.
